Selling shareholders and Zoom will determine a value for the company, and a purchase price for the number of shares being sold by shareholders.
- Purchase shares for sale from selling shareholders:
Zoom will then purchase the shares offered to it for sale from the selling shareholders.
- Design a program to increase the value of all the shares:
Design value-improvement programs so that the balance of shares held by shareholders, after Zoom's purchase, will achieve a value equal or better than the initially determined value for 100% of the shares.
- Make an infusion of capital into the company:

- Determine a general time-frame to sell the company:
